These terms govern your use of the ShieldIQ platform and the related services, including any subscription purchased through DPO Pay. By signing up to the waitlist, registering an account, or otherwise using the platform, you agree to these terms.

1.Detailed description of goods and/or services

ShieldIQ is a business in the governance, risk and compliance (GRC) software industry that offers an AI-assisted compliance, risk and integrated management system (IMS) platform delivered as a subscription Software-as-a-Service.

The service includes automated document analysis and onboarding, an IMS document library with version control and reviewer routing, a risk register with templated assessments, audit-ready evidence logs, realtime notifications, and supporting consulting packages where contracted separately.

2.Delivery policy

Subject to availability and receipt of payment, subscription access is provisioned within 1 business day and delivery is confirmed by way of email notification containing login instructions. Any consulting or onboarding services contracted alongside the subscription are scheduled separately and the applicable timelines are set out in the relevant statement of work.

3.Return and refunds policy

The provision of goods and services by ShieldIQ is subject to availability. In cases of unavailability, ShieldIQ will refund the client in full within 30 days.

Subscription cancellations submitted by the client within 14 calendar days of the initial purchase are eligible for a full refund. Cancellations submitted after this 14-day window will be subject to a 10% administration fee against the remaining unused portion of the prepaid term. Services already rendered (including onboarding and consulting hours already performed) are non-refundable.

4.Customer privacy policy

ShieldIQ shall take all reasonable steps to protect the personal information of users. For the purpose of this clause, “personal information” shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). The PAIA may be downloaded from http://www.lawsofsouthafrica.up.ac.za/index.php/current-legislation.

Where the client's data subjects reside in Namibia, South Africa or another jurisdiction with applicable data-protection legislation, ShieldIQ will act as an operator/processor of personal information on behalf of the client and process such information only in accordance with the client's lawful instructions and the platform's documented data-handling controls. Uploaded files are stored encrypted at rest in S3, transmitted over TLS, and access is restricted to the relevant tenant.

5.Payment options accepted

Payment may be made via Visa and MasterCard, or by bank transfer into the ShieldIQ bank account, the details of which will be provided on request. Recurring subscription billing is processed in advance for the elected billing period (monthly or annual).

6.Card acquiring and security

Card transactions will be acquired for ShieldIQ via DPO Pay, who are the approved payment gateway for Namibian acquiring banks. DPO Pay uses the strictest form of encryption, namely Secure Socket Layer 3 (SSL3), and no card details are stored on the website.

7.Customer details separate from card details

Customer details will be stored by ShieldIQ separately from card details, which are entered by the client on DPO Pay's secure site. ShieldIQ never receives, stores or has access to full card numbers or CVV codes.

8.Merchant outlet country and transaction currency

The merchant outlet country at the time of presenting payment options to the cardholder is Namibia. Transaction currency is Namibian Dollar (NAD). Cross-border cardholders may be billed the equivalent in their home currency by their card issuer at the prevailing exchange rate.

9.Responsibility

ShieldIQ takes responsibility for all aspects relating to the transaction including sale of goods and services sold on this website, customer service and support, dispute resolution and delivery of goods.

10.Country of domicile

This website is governed by the laws of Namibia. ShieldIQ chooses as its domicilium citandi et executandi for all purposes under this agreement, whether in respect of court process, notice, or other documents or communication of whatsoever nature, [TODO — insert registered company address, e.g. “Independence Avenue, Windhoek, Namibia”].

11.Variation

ShieldIQ may, in its sole discretion, change this agreement or any part thereof at any time without notice. The current version is published at https://info.myshieldiq.com/terms and the “Last updated” date will reflect the most recent revision.

14.Acceptable use

You may not use the platform to (a) upload unlawful, infringing or malicious content; (b) attempt to circumvent the platform's tenancy or access controls; (c) reverse-engineer, scrape, or resell the service; or (d) use the AI features to generate content that violates applicable law. ShieldIQ may suspend accounts in material breach of this clause pending investigation.

15.Service availability and limitation of liability

ShieldIQ targets a 99.5% monthly availability for the production platform, excluding scheduled maintenance windows communicated in advance. To the maximum extent permitted by applicable law, ShieldIQ's aggregate liability under this agreement is limited to the fees paid by the client for the three months preceding the event giving rise to the claim, and ShieldIQ shall not be liable for any indirect, incidental or consequential loss.

16.Intellectual property

ShieldIQ and its licensors retain all rights, title and interest in the platform, including all underlying software, templates and AI models. The client retains ownership of any content, documents or data uploaded to the platform; the client grants ShieldIQ a limited licence to process such content solely for the purpose of providing the service.
